IMPORTANT: These Terms are intended for consumer-facing e-commerce sales by SARTA in Italy, the European Union and international markets. They should be reviewed and completed by SARTA’s Italian legal counsel before publication, in particular with the Company’s legal details, applicable delivery/tax model, checkout flow and country-specific international requirements.

2. SCOPE AND ACCEPTANCE OF THESE TERMS
These Terms and Conditions (“Terms”) govern access to and use of the Site and purchases of Products made through the Site. By using the Site or placing an order, you agree to these Terms, together with any policies expressly incorporated into them and made available on the Site.
For consumers, these Terms apply without prejudice to any mandatory rights granted by applicable consumer-protection law. Nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded or restricted.
If you do not agree with these Terms, you should not use the Site or place an order.
These Terms are intended primarily for sales to consumers purchasing Products for personal use. Commercial, wholesale, reseller and other B2B relationships may be subject to separate written agreements or terms.
3. ELIGIBILITY AND PERSONAL USE
You must have the legal capacity required under the law applicable to you to enter into a binding contract. If you are under the age of majority, you may use the Site only with the involvement and consent of a parent or legal guardian where required by applicable law.
Unless otherwise agreed in writing with SARTA, Products purchased through the Site are intended for personal use and not for resale, redistribution or commercial exploitation.
You agree not to use the Site or Products for unlawful purposes, fraud, infringement of third-party rights, or any activity prohibited by applicable law.
4. SITE USE AND AVAILABILITY
SARTA endeavours to keep the Site available and accurate, but does not guarantee that the Site will always be uninterrupted, secure, error-free or available at all times. SARTA may temporarily suspend, modify or discontinue all or part of the Site for maintenance, technical reasons, security reasons or other legitimate operational reasons.
SARTA may update Site content, Product information, features and functionality from time to time. Changes to these Terms are governed by Section 22.
Nothing in this Section affects mandatory consumer rights or SARTA’s obligations regarding an order already accepted.
5. PRODUCTS, IMAGES AND NATURAL MATERIALS
SARTA makes reasonable efforts to ensure that Product descriptions, measurements, colours and images are accurate. Displays may vary according to the device or screen used by the customer, and minor differences between an on-screen image and the physical Product may occur.
Products made from natural leather or other natural materials may show variations in grain, texture, colour, markings, wrinkles, scars, pores or other characteristics inherent to the material. Such variations are natural characteristics and do not, by themselves, constitute a defect or lack of conformity, provided that the Product complies with its description and applicable legal requirements.
Natural leather may also develop a patina and may change in colour, texture or shape with use, exposure to light, moisture, heat, friction and the manner in which it is carried or stored. Ordinary ageing and wear are not defects in themselves.
Any specific Product condition, imperfection or characteristic intentionally disclosed on the relevant Product page forms part of the Product description.
6. PRICES, TAXES AND CURRENCY
Product prices are displayed on the Site at the time of purchase. Unless otherwise stated, prices include applicable VAT where required by law.
Shipping charges, if any, are displayed before the order is submitted. For deliveries outside the European Union, additional import duties, customs charges, import VAT and other destination-country charges may apply unless expressly stated otherwise at checkout.
Prices may change before an order is accepted. A price change does not affect an order already accepted by SARTA.
Where a manifest pricing error occurs, SARTA may cancel an order affected by the error and refund any amount already paid, subject to applicable law. SARTA will use reasonable efforts to notify the customer promptly.
7. ORDERING AND CONTRACT FORMATION
The Product pages and checkout process provide information concerning the Products, prices, delivery charges and other relevant conditions before the customer submits an order.
By submitting an order, the customer makes an offer to purchase the selected Products on these Terms.
An automated acknowledgement of receipt confirms that SARTA has received the order; it does not necessarily constitute acceptance of the order unless the Site expressly states otherwise.
The sales contract is formed when SARTA accepts the order, for example by sending an order confirmation or shipping confirmation, according to the checkout process used by SARTA.
SARTA may decline or cancel an order before acceptance for legitimate reasons, including unavailability of the Product, suspected fraud or unauthorised payment activity, material pricing or technical errors, inability to deliver to the selected destination, or suspected purchase for unauthorised resale, subject always to applicable law.
If an order is cancelled after payment has been received, SARTA will refund the amount paid for the cancelled order to the original payment method, unless another method is required or agreed under applicable law.
8. PAYMENT
Available payment methods are displayed at checkout. Payment information is processed through the relevant payment service provider. SARTA does not normally have access to full payment-card credentials.
The customer must provide accurate and complete billing and contact information and must promptly update information necessary to complete the transaction.
SARTA may carry out reasonable verification measures where there are objective indications of fraud, payment misuse or other unlawful activity. Where an order cannot be safely processed, SARTA may cancel it and refund amounts received, subject to applicable law.
9. FRAUD PREVENTION AND ORDER LIMITATIONS
SARTA may impose reasonable limits on quantities purchased where necessary to prevent fraud, abusive purchasing behaviour, automated purchasing, unauthorised resale or other unlawful or disruptive activity.
SARTA may refuse or cancel orders that, based on objective and reasonable indicators, appear to involve fraudulent activity, payment misuse, identity misuse, unauthorised resale or other unlawful conduct.
SARTA will not use these rights to unlawfully discriminate against consumers on the basis of nationality, place of residence or other protected characteristics. Any territorial restrictions will be based on applicable law, objective logistical or commercial criteria, sanctions, export controls, tax requirements or other legitimate grounds.
10. GEOGRAPHIC RESTRICTIONS AND INTERNATIONAL SALES
SARTA may determine the countries and territories to which it offers delivery, taking into account applicable laws, sanctions, export controls, tax and customs requirements, carrier availability, logistical limitations and other objective considerations.
Where SARTA does not offer delivery to a particular destination, the Site or checkout should indicate the applicable restriction where reasonably practicable.
Nothing in these Terms authorises unjustified geo-blocking or discrimination prohibited by applicable EU law.
11. DELIVERY
Estimated delivery times are displayed at checkout or in the applicable shipping information. Unless expressly agreed otherwise, delivery times are estimates and may be affected by carrier delays, customs procedures and events beyond SARTA’s reasonable control.
For consumer sales, SARTA remains responsible for the Product until the consumer or a third party designated by the consumer, other than the carrier, physically acquires possession of the Product, except where the consumer independently appointed a carrier not offered by SARTA.
If delivery fails because the customer provided an incorrect or incomplete address, refuses delivery, fails to comply with reasonable delivery requirements, or otherwise causes the shipment to be returned, SARTA may recover reasonable costs actually incurred to the extent permitted by applicable law.
If SARTA is unable to deliver an accepted order, SARTA will inform the customer and provide the remedies required by applicable law, including a refund where applicable.
12. CUSTOMS, IMPORT DUTIES AND INTERNATIONAL DELIVERY
Unless expressly stated otherwise at checkout, orders shipped outside the European Union may be subject to import duties, customs duties, import VAT, brokerage fees, handling fees or other charges imposed by the destination country. Unless SARTA expressly states that such charges are included, they are the customer’s responsibility.
The customer is responsible for providing information reasonably required for customs clearance and for complying with applicable import rules.
If a customer refuses or fails to pay applicable import charges and the shipment is returned to SARTA, SARTA may, to the extent permitted by applicable law, deduct from any refund the reasonable and documented costs actually incurred in connection with the return, customs clearance, storage, handling and other non-recoverable charges.
This Section does not reduce any mandatory consumer rights relating to cancellation, refund or delivery.
13. RIGHT OF WITHDRAWAL — CONSUMERS
If you are a consumer within the meaning of applicable law, you generally have the right to withdraw from a distance contract within 14 days without giving a reason.
For a contract concerning goods, the withdrawal period generally expires 14 days after the day on which you, or a third party designated by you other than the carrier, acquire physical possession of the goods. Where the law provides for an extended withdrawal period because mandatory information was not properly provided, the applicable statutory period will apply.
The right of withdrawal is available regardless of whether the Product was purchased at full price or at a discount, except where a statutory exception applies.
SARTA will provide an appropriate online withdrawal mechanism where required by applicable law. Customers may also exercise the right by making an unequivocal statement through the contact details indicated by SARTA, including by email where accepted by law.
14. RETURNS AND CONDITION OF PRODUCTS
After exercising the right of withdrawal, the customer must return the Product without undue delay and, in any event, within 14 days after communicating the withdrawal decision, unless applicable law provides otherwise.
Returns should be sent to: Studio Sarta, Via I. Pizzetti 48, 90145 Palermo, Italy, or to any alternative return address communicated by SARTA.
Customers are strongly requested to return Products with all original packaging, protective materials, tags, boxes, dust bags and accessories. However, missing packaging or tags does not by itself exclude the statutory right of withdrawal.
The customer may handle the Product only to the extent necessary to establish its nature, characteristics and functioning. If the customer handles the Product beyond what is necessary for that purpose and this causes a diminution in value, SARTA may deduct the corresponding and proportionate amount from the refund, to the extent permitted by applicable law.
The customer is responsible for the direct cost of returning the Product under the right of withdrawal unless SARTA has agreed otherwise or applicable law requires SARTA to bear that cost.
SARTA does not currently offer exchanges. Customers wishing to purchase a different Product may place a new order and return the original Product in accordance with these Terms.
15. REFUNDS
Following a valid withdrawal, SARTA will refund the payments received from the customer, including the cost of the standard delivery option offered by SARTA, except for any additional cost resulting from the customer’s choice of a more expensive delivery method.
SARTA may withhold reimbursement until it has received the returned Product or until the customer provides evidence of having sent it back, whichever occurs first, where permitted by applicable law.
Refunds will normally be made using the same payment method used for the original transaction, unless the customer expressly agrees to another method.
Where a permitted deduction for diminished value applies, SARTA will communicate the basis for the deduction.
The rules in this Section are separate from the customer’s responsibility for return shipping costs when exercising the ordinary right of withdrawal under Section 14. In particular, the fact that return costs are borne by the customer in an ordinary withdrawal does not apply where the return is made to exercise a statutory remedy for lack of conformity.
If termination of the sales contract is legally available because of a lack of conformity, the consumer will return the Product at SARTA’s expense and SARTA will reimburse the consumer in accordance with applicable law.
If the consumer has reasonably incurred return or transport costs in connection with a valid statutory remedy and SARTA has not provided a prepaid or otherwise cost-free return method, SARTA will reimburse those reasonable and documented costs, subject to applicable law.
The consumer will not be required to bear the cost of returning a Product to SARTA for the purpose of exercising a statutory remedy for lack of conformity. SARTA will provide reasonable return instructions and, where appropriate, a prepaid return label or other suitable method for arranging the return.
Where a lack of conformity is established or otherwise gives rise to a statutory remedy, the repair or replacement will be carried out free of charge to the consumer, including the necessary costs of postage, transport, labour and materials, to the extent required by applicable law.
16. STATUTORY WARRANTY OF CONFORMITY
For consumers, SARTA is responsible for any lack of conformity existing at the time of delivery and becoming apparent within the statutory warranty period applicable under Italian and EU consumer law, currently two years from delivery for ordinary consumer sales covered by the Italian Consumer Code.
Where a lack of conformity becomes apparent within the period during which the law presumes that the defect existed at delivery, the applicable statutory presumption will apply. SARTA will not contractually reverse or exclude any mandatory burden of proof imposed by law.
The legal guarantee does not cover damage or deterioration caused by misuse, accidents, improper storage, improper cleaning or care, modifications, repairs not authorised by SARTA, ordinary wear and tear, or characteristics inherent in natural materials that do not constitute a lack of conformity.
In particular, ordinary patina development, natural colour variation, minor surface marks inherent in leather, softening or shape changes caused by normal use, and ordinary wear to corners, edges and handles are not, by themselves, lack-of-conformity defects.
The consumer’s remedies, including repair or replacement and, where the statutory conditions are met, an appropriate price reduction or termination of the contract, are governed by applicable law.
17. PRODUCT CARE
Customers are encouraged to follow any care instructions supplied with the Product or made available on the Site. Natural leather and other materials may require protection from prolonged exposure to water, excessive humidity, heat, direct sunlight, abrasive surfaces, chemicals and unsuitable cleaning products.
Damage caused by failure to follow reasonable care instructions, improper cleaning, accidental damage or misuse may fall outside the statutory warranty, subject always to mandatory applicable law.
18. SAMPLE SALE, ARCHIVE AND DISCOUNTED PRODUCTS
Products offered through a Sample Sale, Archive Sale or other special sale remain subject to mandatory consumer rights, including the statutory warranty of conformity and, where applicable, the statutory right of withdrawal.
Where a Product is sold with a disclosed cosmetic imperfection, manufacturing sample characteristic, non-standard packaging, minor variation or other specific condition, the relevant Product page should clearly describe that condition before purchase.
A disclosed characteristic or imperfection does not constitute a lack of conformity merely because it was expressly identified before purchase, provided that the Product otherwise complies with applicable legal requirements.
A discount does not, by itself, remove or reduce mandatory consumer rights.
19. INTELLECTUAL PROPERTY
All trademarks, logos, trade names, product names, designs, photographs, product images, texts, graphics, videos, layouts, software, databases and other content made available through the Site are owned by SARTA or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted by law, no Site content may be reproduced, copied, modified, distributed, publicly displayed, commercially exploited, scraped, republished or used to create derivative works without SARTA’s prior written consent.
Purchase of a Product does not transfer to the customer any intellectual property rights in the Product design, trademarks, photographs or other SARTA content.
20. PROHIBITED USES AND SITE SECURITY
Users must not use the Site: (a) for unlawful purposes; (b) to infringe intellectual property or other rights; (c) to submit false or misleading information; (d) to transmit malware or malicious code; (e) to interfere with Site security or operation; (f) to scrape, crawl or systematically extract Site content except where expressly permitted by law; (g) to impersonate another person; (h) to conduct fraudulent transactions; or (i) in any manner that could damage, overload or disrupt the Site or its infrastructure.
SARTA may suspend or restrict access where reasonably necessary to protect the Site, users, payment systems or SARTA’s rights, subject to applicable law.
21. THIRD-PARTY SERVICES AND LINKS
The Site may use or link to third-party services, payment providers, logistics providers, social-media services or other external websites. SARTA is not responsible for the content or operation of third-party websites that it does not control.
Third-party services may be subject to their own terms and policies. Nothing in this Section limits SARTA’s obligations in relation to Products purchased from SARTA.
22. USER-GENERATED CONTENT AND FEEDBACK
Where the Site permits reviews, comments, photographs or other user-generated content, the user remains responsible for the content submitted.
Users must not submit content that is unlawful, defamatory, infringing, misleading, abusive, discriminatory, obscene, malicious or otherwise harmful, or that violates the rights of third parties.
By submitting content for publication on the Site, the user grants SARTA a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and use that content for operating, marketing and improving SARTA’s Site and Products, to the extent permitted by applicable law and subject to any rights the user cannot lawfully waive.
SARTA may moderate, refuse, remove or disable access to user-generated content where reasonably necessary or where required by law.
23. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.
Subject to the preceding paragraph, SARTA will not be liable for indirect or consequential losses that are not a foreseeable and direct consequence of SARTA’s breach of these Terms, to the extent such limitation is permitted by applicable law.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence where such exclusion or limitation is prohibited by law, fraud or fraudulent misrepresentation, defective products where liability cannot lawfully be excluded, or any other liability that mandatory law requires to remain applicable.
SARTA is not responsible for failures or delays caused by events beyond its reasonable control, without prejudice to mandatory consumer remedies.
24. EVENTS BEYOND REASONABLE CONTROL
SARTA will not be responsible for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, war, terrorism, civil unrest, epidemics, governmental measures, sanctions, strikes, significant carrier disruption, telecommunications failures, cyber incidents affecting third-party infrastructure, or other comparable events.
SARTA will take reasonable steps to mitigate the effects of such events and will communicate material delays where reasonably practicable. This Section does not remove mandatory consumer rights.
25. INDEMNITY — LIMITED APPLICATION
Where permitted by applicable law, a user who intentionally or negligently causes a third-party claim through unlawful use of the Site, infringement of third-party rights, fraudulent conduct or other material breach of these Terms may be responsible for losses directly caused by that conduct.
This Section does not impose on consumers any obligation to indemnify SARTA for the ordinary exercise of statutory consumer rights and does not limit any mandatory consumer protection.
26. PRIVACY AND COOKIES
Privacy, personal-data processing and cookies are governed by separate documents made available on the Site, including SARTA’s Privacy Policy and Cookie Policy. Those documents are not incorporated into these Terms except to the extent expressly stated in them.
This Section intentionally does not reproduce or regulate the substance of SARTA’s Privacy Policy or Cookie Policy.
27. COMPLAINTS AND CUSTOMER SERVICE
Questions, complaints or requests concerning an order, Product, return or warranty claim may be submitted to info@studiosarta.com.
Customers should provide the order number and sufficient information to allow SARTA to identify the transaction and assess the request.
Nothing in this Section prevents a consumer from exercising any statutory right, contacting a competent consumer authority or using any dispute-resolution mechanism available under applicable law.
28. GOVERNING LAW AND JURISDICTION
These Terms are governed by Italian law, without prejudice to any mandatory consumer-protection provisions that apply in the country where the consumer has their habitual residence and cannot lawfully be excluded by agreement.
For consumers domiciled in Italy, disputes are subject to the jurisdiction of the court having jurisdiction under the Italian Consumer Code, including the court of the consumer’s place of residence or domicile where applicable.
For consumers resident outside Italy, mandatory jurisdictional protections available under applicable law remain unaffected.
For users acting exclusively in the course of a business, commercial, craft or professional activity, and subject to any mandatory applicable rules, the courts of Palermo, Italy, shall have exclusive jurisdiction.
29. SEVERABILITY
If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect, unless applicable law requires otherwise.
30. NO WAIVER
A failure or delay by SARTA in exercising any right under these Terms does not constitute a waiver of that right.
31. ENTIRE AGREEMENT
These Terms, together with the documents expressly incorporated into them and the contractual information provided to the customer before the order is submitted, constitute the agreement governing the relevant use of the Site and purchase, without prejudice to mandatory statutory rights.
In the event of a conflict between these Terms and mandatory law, mandatory law prevails.
Where a term is ambiguous, it will be interpreted in accordance with applicable consumer-protection rules.
32. CHANGES TO THESE TERMS
SARTA may update these Terms from time to time to reflect changes in law, the Site, Products, services, security requirements or business operations.
The version applicable to an order is the version made available and accepted before the order is submitted, unless a later change is required by law or otherwise expressly agreed with the customer.
Changes to these Terms will not retroactively alter rights and obligations arising from an order already accepted, except where required by law.
33. PRODUCT SAFETY AND ONLINE PRODUCT INFORMATION
Where applicable, SARTA will provide the product-identification, manufacturer information, safety information and other information required for distance sales under applicable product-safety legislation, including the EU General Product Safety Regulation where applicable.
Customers should read and follow any safety or care information supplied with the Product and should contact SARTA promptly if they identify a potential safety issue.
Where a Product is subject to a recall or other mandatory safety action, SARTA may contact affected customers and take the measures required by applicable law.
34. B2B AND WHOLESALE SALES
These Terms are primarily intended for consumer purchases. Orders placed by businesses, professionals, resellers, distributors or other commercial customers may be subject to separate B2B or wholesale terms.
If no separate written B2B agreement applies, mandatory consumer provisions will apply only where the purchaser legally qualifies as a consumer; otherwise, the applicable provisions of these Terms will be interpreted in accordance with the commercial nature of the transaction and applicable law.
